Future Financial to Acquire Commercial State Bank Parent Company in North Texas

PLANO, Texas (TXAN 24) — Future Financial Bankshares Inc. has signed a definitive agreement to acquire Palmer Bancshares Inc., the parent company of Commercial State Bank, in a move aimed at expanding community banking across North Texas.
The acquisition marks the first transaction for Future Financial Bankshares, a newly formed Texas corporation led by banking executive Jeffrey A. Kesler, who has more than 25 years of experience in the financial services industry.
Kesler said Commercial State Bank’s long-standing reputation and community-focused approach made it an ideal partner.
“We found that foundation in Commercial State Bank, which has been faithfully led by Phillip Newsom and his family for the past 30 years,” Kesler said.
Future Financial plans to maintain local decision-making while investing in technology designed to improve customer service and employee experience. Company leaders said the goal is to preserve the community bank’s culture while supporting long-term growth.
Commercial State Bank Chairman and CEO Phillip Newsom called the agreement “the next chapter” for the institution, which has served Texas communities for more than 95 years.
“This is an opportunity for the bank to remain independent and retain its character as a community institution but with added resources,” Newsom said.
Commercial State Bank operates its headquarters in Palmer with branch locations in Ferris and Wilmer. As of March 31, 2026, the bank reported approximately $121.3 million in total assets, $43.1 million in loans, $108.5 million in deposits, and $12.4 million in total equity.
The transaction remains subject to customary regulatory approvals and closing conditions.
